Jazz International Holding Limited, a subsidiary of global telecom group VEON incorporated in the UAE, has signed a definitive agreement to acquire a controlling stake in TPL Insurance Limited, a publicly listed insurance company in Pakistan. The acquisition deal is valued at approximately Rs4.15 billion, marking a significant development in Pakistan’s digital financial services landscape.

TPL Insurance operates as a digital-first insurance provider, offering a range of insurance products including auto, health, fire, and property coverage. The company has built a strong presence in Pakistan’s InsurTech sector with a technology-driven operating model and established distribution network.

According to company data, TPL Insurance recorded Gross Written Premium (GWP) of Rs5.7 billion and issued more than 277,000 insurance policies as of December 31, 2025. The company holds a general insurer license and maintains an AA credit rating, reflecting its financial stability and operational performance in the insurance sector.

The acquisition aligns with Jazz’s broader strategy to expand its digital services ecosystem and strengthen its presence in financial technology and digital financial services.

Aamir Ibrahim, Chief Executive Officer of Jazz, stated that the acquisition represents a key milestone in the company’s long-term vision of creating a comprehensive digital platform that extends beyond telecom services.

He noted that integrating insurance services into Jazz’s digital financial portfolio, which includes JazzCash, Mobilink Bank, and FikrFree — will enable the company to provide broader financial protection services to millions of users across Pakistan.

Pakistan’s insurance penetration remains significantly low compared to global averages, leaving a large portion of the population without financial protection against risks. Industry experts believe that digital distribution channels can play a major role in bridging this gap by making insurance products more accessible and affordable.

Through this acquisition, Jazz aims to leverage its large digital user base and fintech infrastructure to scale technology-driven insurance products and accelerate the adoption of digital insurance services in the country.

The transaction is expected to close in the second quarter of 2026, subject to necessary regulatory approvals. The deal between TPL Corp Limited and Jazz International Holding Limited will also require clearance from the Competition Commission of Pakistan (CCP) before completion.

Once finalized, the acquisition could significantly strengthen the digital insurance ecosystem in Pakistan and contribute to expanding financial inclusion through integrated fintech and insurance services.

Jazz invested PKR 14.9 billion in Pakistan during the first quarter of 2022 as part of its ‘4G for all’ vision, bringing its total investment in the country to US$10.2 billion.

During this quarter, the company spent the majority of its capital budget on the addition of nearly 500 new 4G sites, bringing its 4G coverage to 55.7 percent of the population. This network expansion helped Jazz grow its 4G customer base by 27.8% year over year to 36.7 million, while its overall subscriber number reached 75 million.

Jazz’s position as the country’s leading digital operator was maintained by the performance of its digital services during the quarter. JazzCash, the company’s digital banking service, has 15.7 million monthly active users and 145, 000 active merchants. Jazz World, the company’s self-care app, continued to see significant consumer uptake, with monthly active users increasing by 23.1 percent year over year to 10.5 million.

Jazz is the most complained about telecommunications operator, according to data from the Pakistan Telecommunication Authority (PTA), with 7,948 complaints. Telenor is the second most complained about telecoms operator, with 5,096 complaints.

With 3,553 complaints, Zong came in third. Ufone received 1,639 complaints about its services. In March 2022, PTA received 216 complaints about basic telephone, of which 205 were resolved. In addition, 582 complaints against ISPs were received, with 571 of them being addressed.

Cellular mobile users make up a significant portion of the total telecom subscriber base. As a result, this portion receives the greatest amount of complaints. By March, there had been 18,247 complaints filed against CMOs. Due to the fact that Jazz is the largest cellular operator in terms of subscriber ratio, the number of complaints was larger.

On the other hand, as of January 2022, the Pakistan Telecommunication Authority (PTA) had received 19,067 complaints from telecom customers against various telecom providers, including cellular operators, PTCL, LDIs, WLL operators, and ISPs.

According to the PTA, it was able to settle 18,948 concerns, or 99 percent.

Zong filed a petition with the Islamabad High Court, requesting that the license renewal process for Jazz be halted.
In its petition, Zong claimed that the Pakistan Telecommunication Authority and Frequency Allocation Board rushed the license renewal process in order to give an unfair advantage to Jazz because Zong’s spectrum has interference, and that Zong was expecting PTA to resolve its faulty spectrum before renewing Jazz’s spectrum.

The petition stated that “PTA’s decision to renew Jazz’s spectrum on an as-is basis would hinder fair competition and put Zong at a disadvantage.”

According to Zong’s petition, Jazz’s license was due to be renewed in July 2022, but the procedure was rushed to provide Jazz an unfair competitive advantage. While accepting the petition, the Islamabad High Court served notice on the MOIT, the PTA, and the FAB.

While taking notice of Jazz’s license renewal over the course of the proceedings, the High Court ruled that the renewal of Jazz’s license based on the policy directive be subject to the petition’s final decision. Zong contends that the 1800Mhz spectrum it was given by PTA and FAB contains interference, and that it, like all other operators, needs a clean spectrum.

Zong has filed court applications claiming that PTA has treated it unfairly and that it is at a disadvantage to other operators who have access to a clear spectrum. Zong expected PTA to re-distribute spectrum in such a way that clean spectrum (from 900Mhz) is evenly allocated to all operators in the market when Jazz’s license was renewed.

Zong claims that, in light of the situation and the fact that Jazz’s license is up for renewal in July 2022, it filed a petition in the Islamabad High Court. The matter was initially scheduled for hearing on April 12, 2022, but due to a lack of time, it was rescheduled for the following day, April 13, 2022.

Jazz quickly signed their license with PTA on the evening of April 12, 2022, and deposited 50 percent of the license money far before of the license expiry date, according to Zong, in an attempt to avoid the legal proceedings. This matter was brought to the court’s attention today, and the court has ordered that the renewal of the license based on the contested policy directive be subject to the petition’s final decision.

After meeting with the National Command and Operations Center (NCOC), the Jazz is mobilizing its resources for a nationwide advocacy campaign to urge Pakistanis to get vaccinated.

The decision was made based on the NCOC’s statement and promised that all public and private sector employees must be vaccinated against the coronavirus, so the country is still expected to reopen all economic sectors as soon as possible.

To support the cause of the country, jazz will activate its communication channels to reach millions of people who have not been vaccinated. The event will be published through print, digital and electronic media.

Jazz aims to play a key role in systematically solving vaccine problems through effective communication strategies to increase confidence in the national vaccination campaign.

Through clear, fact-based information and the right platform, Jazz aims to reach out to those who are skeptical of vaccines or don’t know about vaccines.  By raising awareness in time, the national vaccination campaign can further reduce the tide of infections,” said Amir Ibrahim, the executive director of the Jazz.

Due to strict standard operating procedures, the country’s positive rate hovers around 3%. However, if the country wants to increase the proportion of the vaccinated population, it needs more support from the public and private actors.

Global evidence fully proves that this policy measure is not only essential to reduce hospitalization rates, but also essential to reduce transmission. Since the outbreak of the virus, the Jazz has increased its support to the government through short- and medium-term measures aimed at limiting the negative impact of the pandemic, especially in underserved areas such as the healthcare sector.
